The phase do to show structural changes already passed.
They can't do that anymore to make the deal get appoved.
If the case gets sent back to the cma because of the appeal they could talk about divestiture, but MS refuse to divest.

ABK can’t pull out of the UK. The vast majority of King is on the UK.
Whole business and governments use windows. They can’t and won’t leave the UK.
Plus their European HQ is in the UK. This is a PR bluff so media outlets with propagate it into the casual public minds.

Thyve been doing PR bluffs all these months and it has not worked. Only thing it's done is probably piss off CMA/FTC more and have fanboy idiots drooling nonsense/hope on Twitter and these forums.

True, what they will be able to appeal now is another things.

But once the appealings fail, I assume they may rework the conditions of the acquisition and may try again from scratch if MS is ok with not acquiring CoD (I wouldn't bet on it) or signing that they'll keep CoD forever multiplatform in all consoles and game subs not limiting to 10 years only and not including abusive conditions such as not paying the platform holders their 30% (I wouldn't bet on it).

It’s more likely either ABK remains independent or go somewhere else. It’s clear CMA won’t let either Microsoft or other big techs do huge acquisitions anymore.

Yes, the most likely result is that MS will lose the trial against FTC and the appealing against CMA. So they will take an L and figure out some alternative for some time later such as sign exclusive & GP deals with them or buy only a portion, or something like that.

Big techs continue acquiring with no problem, look at Sony, Google, Meta or in games Embracer or Tencent, when done in fair conditions. CMA blocked this for the 'we won't pay you the 30%' condition of the CoD 10 years deal and because they think -in a wild guess- that maybe the cloud gaming potentially may end being a big market in the long term when it's basically nothing now and MS may be way bigger than it is now and that CoD will continue being as relevant as it's today when it happens (which I don't see happening in less than at least 10 or 20 years).

I don't keep track since CMA blocked the acquisition and MS said they were going to appeal. If MS wins the FTC trial and CMA appealing (things I think won't happen) they'd be able to buy the day later.

Two different things…

FTC is suing to block the deal… the power to block or not is on the court.

CMA blocked the deal… it is already blocked… MS is going to CAT as a form to force CAT to ask CMA to review their documents.

The power to block or not the deal is still in CMA hands… CAT has the power only to point error or inconsistencies in the documents… and so CMA have to review them, shows why it is like that and if they made any mistake they (CMA) are the only one that can change their own decision.

I think MS has pretty high chances in the US. Its big enough to go to the SCOTUS and politized enough to sort of give MS a default win over the FTC unless it fucks its own case up somehow.

In my opinion FTC will lose the case like they always do in US.

In the same opinion I can't see how MS and CAT can convince CMA to chance their decision... even if there are any mistake/error in the doc they will just fix it and continue with the same decision.
